The following Terms of Service, (these “Terms of Service”), govern your access to and use of the web site www.goloot.io (the “Website”), including the use of our mobile advertising solution (the “Solution”), collectively “Services”.

1. Term of These Terms of Services

These Terms of Service are valid from your first use of one of the Services and for as long as you use any of the Services (the “Term”).

2. Applicable Definitions

"Content" means texts, graphics, logos, images, sound clips, offers, ads, stories, blog posts and digital downloads on our Services.

"Laws" means any law, regulation, rule, code, ordinance, constitution, treaty, common law, judgment, order or other requirement of a federal, provincial, territorial, municipal or foreign government or any of its political subdivisions, or any arbitrator, court or tribunal of competent jurisdiction.

"Intellectual Property" means (a) patents, trademarks, rights to designs, presentations, trademarks, company name or domain name, copyrights, including rights to software and databases (b) rights to inventions, know-how, trade secrets and other confidential information; and (c) any other intellectual property right which may exist at any time in any part of the world.

"Personal information" means any information that meets the definition of “personal information” or “personal data” (or a similar nomenclature) under Applicable Laws and which is (i) submitted by you through the Services or (ii) collected or generated by the Services.

We may change our Services, for example adding new features over time in our sole reasonable discretion. Changes to the Services will not result in a material breach of these Terms of Service.

If you continue to use the Services after we post this notice or notify you by email or otherwise, you will be deemed to have accepted such changes. You can terminate these Terms of Service at any time by ceasing to use the Services.

4. Your Obligations

You must comply with these rules in order to ensure the proper functioning of our Services. The following behaviors are considered “Abuse” and in the event of non-compliance, we reserve the right to suspend your access to the Services:

  • Use the Services in a manner that violates Applicable Laws;
  • Use any device, software, computer program or other tool, computer or not, to harm or attempt to interfere with the proper functioning of our Services;
  • Attempt to decompile, hack, disable, interfere with, or otherwise modify the Content that belongs to us;
  • Investigate, analyze or test the vulnerability of the Website or any network connected to it, or to violate the security and authentication measures of the Website, our Solution or any network connected to it;

  • Take any action that would impose an excessive or unreasonable load on the infrastructure of our Website, our Solution or our systems or networks.
  • Encourage, aid, allow, induce or authorize a third party to commit any of the Abuses mentioned above.

The Services may provide links to third-party sites, such as the possibility to share Content on social media sites or be redirected to the web site of an online commerce (« E-commerce ») to redeem an offer. The reference to these third party websites are for information or for convenience purposes. Third party sites are not under our control, including their content and their privacy or security practices. It is your responsibility to assess whether your use of third party sites is desirable, in particular by reading the terms of use and privacy policies of linked sites.

We reserve the right to withdraw linking permission without notice.

6. Intellectual Property

We remain at all times the exclusive owner of all rights, titles and interests, including all Intellectual Property, relating to the Services and the Content. Our partners such as E-commerce are the owners of their respective intellectual property.

Notwithstanding anything to the contrary, we remain the exclusive owner of any suggestions, requests for improvement, recommendations or other comments provided by you to GoLoot, so far as they relate to the Services, and you are granting GoLoot, by these Terms of Service, without limitation of any kind, all your rights, titles and interests in these elements, GoLoot accepting this assignment.

8. Indemnity

You agree to indemnify us and our officers, directors, shareholders, predecessors, assigns, agents, employees and affiliates against all claims, losses, liabilities, claims or disbursements (including reasonable legal fees) against us in relation to your use of the Services in violation of the Terms of Service.

9. Changes to the Terms and Services

We reserve the right to change, modify, add or remove parts of our Terms of Service at any time, including in order to comply with Applicable Laws. When we change these Terms of Services, we will update the "Last Updated" above.

10. Governing Law and Jurisdiction

These Terms of Service will be governed by and interpreted in accordance with the Laws applicable in the province of Quebec.
